Formalizing a business in Colombia often seems like a labyrinth of requirements, but it is actually a fairly clear process if you know the order of the steps. Whether you are opening a physical store in Bogotá, a workshop in Medellín, or a digital service from Cali, registering your commercial activity with the Chamber of Commerce in your jurisdiction allows you to certify your commercial registration and keep your business formalization organized.
In this article, we explain in a transparent and updated way how to carry out the commercial registration in Colombia, which legal figure suits you best, and how to calculate the formalization costs according to your company's assets.
Natural Person vs. Legal Entity (S.A.S.): Which one to choose for your business?
The first fundamental step is to define under which legal figure you are going to register. In Colombia, there are two main paths for most micro, small, and medium-sized enterprises:
- Natural Person Merchant: This is you as a physical person acting in commerce. The registration process is faster, cheaper, and involves fewer initial accounting formalities. However, you must keep in mind that you are liable with all your personal assets (house, car, bank accounts) for the debts or contractual obligations that the business incurs.
- Legal Entity (Simplified Joint Stock Company - S.A.S.): You create an independent legal entity with its own NIT, distinct from the partners. Under Law 1258 of 2008, the S.A.S. can be incorporated through a private document without the need for a public deed or notary (unless real estate is contributed). Its greatest advantage is that, as a general rule, the liability of the shareholders is limited to the amount of their contributions, barring legal exceptions.
If you are testing a business idea with low operational risk or working independently, registering as a natural person is an excellent starting point. If you are going to partner with others, hire personnel from day one, or assume high commercial responsibilities, incorporating an S.A.S. will offer you decisive asset protection.
Step by step to register your business with the Chamber of Commerce
The Commercial Registry is managed by the country's chambers of commerce under the coordination of Confecámaras. In authorized municipalities, the process can be done 100% online through the Single Business Window (VUE) or the virtual portal of your local Chamber of Commerce. This is the sequential process:
1. Homonymy verification in the RUES
Before printing forms or drafting bylaws, you must confirm that the trade name or company name you chose does not belong to another company. Enter the Single Business and Social Registry (RUES) portal at rues.org.co and perform the homonymy check. The system searches the national database of chambers of commerce. Remember that it is not allowed to register a name identical to a pre-existing one in any municipality in Colombia.
2. Classification of economic activity (ISIC Code)
You must define the International Standard Industrial Classification (ISIC/CIIU) code that corresponds to your activity. The selection must accurately describe the activity you actually perform; additionally, it is advisable to confirm with your Chamber and an accountant how it is reflected in your particular obligations and permits. Check our article on how to update your economic activity in the DIAN RUT to ensure that your codes match perfectly.
3. Filling out RUES and Pre-RUT forms
Through the virtual platform of the Chamber of Commerce or the VUE, fill out the RUES form with general information, judicial notification address, phone numbers, and the initial value of your company's assets. If you do not have a RUT registered as a merchant or company, the system itself will generate a Pre-RUT in coordination with the DIAN.
4. Signing of bylaws or declaration and filing
If you register as a Natural Person, you only need your identity document and to enter the details of the commercial establishment. If you are going to incorporate an S.A.S., you must attach the private document of bylaws signed by all shareholders, the acceptance of positions of the legal representative, and a photocopy of the founders' national ID cards.
5. Payment of registration fees and taxes
Once the information is completed, the platform calculates the commercial registration fees for the person/company and the commercial establishment, as well as the departmental registration tax. You can pay directly via PSE or credit card.

How much does it cost to register a company or establishment? (UVB Scheme)
A frequent question among entrepreneurs is the exact cost of registration. In Colombia, the commercial registration fee is not an arbitrary fixed figure: it is calculated using a progressive formula based on the ordinary assets you declare at the time of registration, structured in Basic Value Units (UVB) regulated by the National Government under Decree 045 of 2024.
What goes into the calculation:
- The registration fees for the natural person or company are calculated progressively according to the declared ordinary assets and the official UVB scheme.
- If there is a physical location or business, the commercial establishment must also be registered.
- In the incorporation of companies, the departmental registration tax may apply; confirm the exact calculation provided by the platform or your Chamber.
This progressive structure ensures that a small merchant with little capital can formalize by paying only a fraction compared to a medium-sized company.
Subsequent procedures and legal obligations after registration
The process does not end upon receiving the Certificate of Existence and Legal Representation. To operate with full legality, you must complete this checklist:
- Obtaining the final NIT in the RUT: The Chamber of Commerce transmits the data to the DIAN to convert your Pre-RUT into the final RUT with an assigned NIT.
- Registration in the RIT (Tax Information Registry): You must register with the Finance Secretariat of your municipality for the payment of the Industry and Commerce Tax (ICA) and ReteICA.
- Electronic Invoicing and Supporting Document: Check if you are required to issue electronic invoices based on your income level or activity. If you hire suppliers who are not required to invoice, remember to implement the DIAN supporting document.
- Opening a business bank account: Each banking entity defines the documents and the validity of the certificate it requires to open an account in the company's name.
- Mandatory Annual Renewal: The commercial registration must be renewed every year between January 1st and March 31st, updating the asset information and financial statements of the previous year.
As your company grows, commercial formalization will open doors for you to contract with the State through the Single Registry of Proponents (RUP) or to submit proposals to large corporations. If you want to delve deeper into public bidding, read our guide on the Single Registry of Proponents (RUP) at the Chamber of Commerce.
As a reference point for our commercial channel, the Colombia Move marketplace recorded 379 active listings in total as of August 21, 2026. This data does not replace a market study, but it does show that a formalized company needs to support its procedures with clear product sheets and channels where inventory can be discovered.
Next, if your business focuses on selling products, machinery, vehicles, or local services, it is key to have direct dissemination channels that do not drain your margins with sales commissions.
Frequently Asked Questions
❓ Is it mandatory to register my business with the Chamber of Commerce if I only sell online or through social media?
Yes, any person who carries out commercial activities in a professional and habitual manner in Colombia is required by the Commercial Code to register in the Commercial Registry, regardless of whether they operate in a physical store or through digital channels.
❓ What is the difference between registering a name with the Chamber of Commerce and registering a trademark?
The mercantile registration at the Chamber of Commerce protects the business name and trade name only within business registries, while trademark registration is done before the Superintendency of Industry and Commerce (SIC) and grants the exclusive right to the commercial use of the sign or logo throughout the national territory.

The timeframe depends on the Chamber, the channel used, and the document review. Check the status in the VUE or your Chamber's portal and correct any requirements promptly.
❓ What happens if I don't renew my commercial registration before March 31?
The renewal becomes late. Regularize it as soon as possible with your Chamber of Commerce and consult there the consequences applicable to your case; the ordinary deadline is March 31 of each year.
❓ Can I register my company with a foreign identity card or passport?
A foreign person can participate in formalization, but the documents required depend on their role and immigration status. Confirm the identification and signature requirements in advance with the competent Chamber and the DIAN.
